SCOPE AND MODIFICATION OF THE AGREEMENT

You agree to the terms and conditions outlined in the Agreement regarding your use of the Website. The Agreement is the only agreement between you and The Software concerning your use of the Website, replacing any previous or contemporaneous agreements, representations, warranties, and/or understandings. We may amend the Agreement at our discretion, without specific notice to you. The most recent Agreement will be published on the Website, and you should review it before using the Website. By continuing to use the Website and/or Services, you agree to comply with all the terms and conditions in the Agreement that is in effect at the time. NEEDS

In order to access and use the Website and Services, individuals must be able to enter into legally binding contracts under applicable law. Users must be at least eighteen (18) years old to access and use the Website and Services. REDEFINITION OF THE SERVICES

Vendor Services

By completing the relevant purchase order forms on the Website, you can acquire, or attempt to acquire, specific products and/or services. The descriptions of these products and/or services on the Website may be provided directly by the manufacturers or distributors who are Third Party Providers. TheSoftware cannot guarantee the accuracy or completeness of these descriptions. You acknowledge and agree that TheSoftware is not responsible or liable in any way for your inability to obtain products and/or services from the Website or for any disputes with the sellers, distributors, or end-user consumers of the products. You also acknowledge and agree that TheSoftware will not be held liable to you or any third party for any claims related to the products and/or services offered on the Website.

CONTESTS

At times, Contests are offered by TheSoftware, with promotional prizes and other awards. By accurately providing information in the Contest registration form and agreeing to the Official Contest Rules, participants have a chance to win the promotional prizes. To enter into the Contests on the Website, it is necessary to complete the applicable entry form and provide true, accurate, current, and complete Contest Registration Data. TheSoftware reserves the right to reject any Contest Registration Data that is determined, at its sole and exclusive discretion, to be in breach of any part of the Agreement or incomplete, fraudulent, duplicate, or otherwise unacceptable. TheSoftware retains the right to change the Registration Data criteria at any time, at its sole discretion.

LICENSE GRANT

As a user of the Website, you have been granted a non-exclusive, non-transferable, revocable, and limited license to access and utilize the Website, Content, and related materials in accordance with the Agreement. TheSoftware reserves the right to terminate this license at its discretion and for any reason. You may only use the Website and Content on a single computer for your personal and non-commercial use. Reproduction of any part of the Website, Content, Contests, and/or Services, in any form, or its incorporation into any electronic or mechanical information retrieval system, is strictly prohibited. Furthermore, you are prohibited from using, copying, emulating, cloning, renting, leasing, selling, modifying, decompiling, disassembling, reverse engineering, or transferring the Website, Content, Contests, and/or Services or any portion thereof. Any rights not explicitly granted in the Agreement are reserved by TheSoftware. It is also forbidden to use any device, software, or routine that may interfere or attempt to interfere with the proper functioning of the Website. Additionally, you must not take any actions that impose an unreasonably or disproportionately large burden on TheSoftware’s infrastructure. Your right to use the Website, Content, Contests, and/or Services is not transferable.

The Website, Content, Contests, and Services are protected under copyrights, trademarks, and other proprietary rights. You are strictly prohibited from copying, redistributing, publishing, or selling any part of them. Unauthorized retrieval of material from the Website, Content, Contests, and Services, including scraping or data extraction, is prohibited. You do not acquire ownership rights to any viewed materials. TheSoftware’s posting of information or material does not waive any right to such content. TheSoftware’s name, logo, and associated graphics are trademarks. Unauthorized use of any trademark is strictly prohibited.

HYPERLINKING TO THE WEBSITE, CO-BRANDING, “FRAMING” AND/OR REFERENCING THE WEBSITE PROHIBITED

No one, unless expressly authorized by TheSoftware, is permitted to hyperlink the Website or any of its portions (including, but not limited to, logotypes, trademarks, branding, or copyrighted material) to their own website or web venue. It is also strictly prohibited to “frame” the Website or reference its Uniform Resource Locator (URL) in any commercial or non-commercial media without obtaining the prior, express, written permission from TheSoftware. By using the Website, you agree to cooperate with TheSoftware in removing or discontinuing any such content or activity. You acknowledge that you will be held responsible for any resulting damages.

EDITING, DELETING AND MODIFICATION

In our sole discretion, we have the right to edit and/or delete any documents, information, or other content that is displayed on the Website.

TheSoftware is committed to pursuing all available legal and equitable remedies to address such actions by individuals or entities. TheSoftware will exhaustively seek all possible measures within the boundaries of the law to enforce its rights and protect the integrity of its operations.
